Terms of Service

Purpose

These Terms of Service for the information media service “TamagoDaruma” planned and operated by ONE ROOF ALLIANCE (hereinafter referred to as the “Company”) (hereinafter referred to as these “Terms”) set forth the conditions for using the services provided by the Company under the name “TamagoDaruma” (including any service provided after a change in the name or content of the service, regardless of the reason for such change; hereinafter referred to as the “Service”). Users of the Service (hereinafter referred to as “Users”) must comply with these Terms.

Acceptance of the Terms

  • Users must use the Service in accordance with these Terms.
  • If a User is a minor, the User must use the Service with the consent of a legal representative, such as a parent or guardian.
  • By actually using the Service, Users are deemed to have agreed to these Terms.

Use of Personal Information

In providing the Service, the Company shall use Users’ personal information in accordance with its separately established Privacy Policy, and Users agree to such use.

Copyrights

  • Copyrights and all other intellectual property rights, including moral interests such as portrait rights, related to information provided by the Company through the Service, including text, images, videos, and other content, shall belong to the Company or to third parties that have legitimate rights to such information.
  • Copyrights and other intellectual property rights related to information that Users publish through the Service or provide to the Company shall remain with the Users. Users grant the Company permission to use such information within the scope necessary for the Company’s business activities, including reproduction, adaptation, modification, sublicensing to third parties, and any other form of use. Users agree not to exercise moral rights against the Company in connection with the Company’s use of such intellectual property rights under this provision.

Use of Free Download Materials

The Service may provide printables, teaching materials, handouts, images, illustrations, photographs, PDFs, and other content that Users may use for purposes such as home use, childcare, education, developmental support, and parenting support (hereinafter referred to as “Free Download Materials”).

Copyrights and all other intellectual property rights related to the Free Download Materials shall belong to the Company or to third parties that have legitimate rights to such materials. Users shall use the Free Download Materials in accordance with these Terms and any separate conditions specified by the Company.

Permitted Use

Free Download Materials may be used within the following scope:

  • Use at home for parenting, play, learning, educational activities, early learning, and developmental support.
  • Use within facilities such as nurseries, kindergartens, certified childcare centers, child development support facilities, after-school day services, parenting support facilities, after-school childcare programs, educational institutions, and similar facilities for childcare, developmental support, learning support, and activity support.
  • Printing, copying, displaying, and distributing the materials to the extent necessary for the purposes described above.
  • Distributing printed materials to parents, preschool children, children, students, service users, and similar recipients for the purpose of facility-based activities or home-based activities.

Uses Requiring Prior Consultation

If Users wish to use the Free Download Materials in any of the following ways, they must contact the Company in advance through the Contact Form.

  • Continuous use in for-profit classes, courses, events, workshops, or similar activities.
  • Use by companies, organizations, local governments, facilities, or similar entities by publishing, incorporating, or including the materials in their own documents, teaching materials, training materials, handouts, promotional materials, or similar materials.
  • Continuous use across multiple locations, affiliated facilities, franchise operations, an entire corporation, or similar networks.
  • Creating teaching materials, documents, booklets, videos, apps, web content, or other works based on the Company’s Free Download Materials.
  • Any other use that the Company determines requires individual permission.

Prohibited Uses

The following acts are prohibited in relation to the Free Download Materials:

  • Selling, paid distribution, lending, or transferring the Free Download Materials themselves or any copies or modified versions thereof.
  • Presenting the Free Download Materials as materials, teaching resources, or products created by the User, the User’s organization, or any third party.
  • Reposting, redistributing, or uploading PDF data, image data, editable data, or any other data related to the Free Download Materials to websites, social media, file-sharing services, apps, video distribution services, printed materials, or any other media without the Company’s permission.
  • Modifying the Free Download Materials in a manner that damages the credibility, reputation, or brand value of the Company or any third party.
  • Using the Free Download Materials for purposes that violate public order and morals, violate laws or regulations, or are otherwise deemed inappropriate by the Company.
  • Using the Free Download Materials for AI training, machine learning, image-generation AI, or any other training dataset.
  • Any other act that violates these Terms or any separate conditions specified by the Company.

Credit and Attribution

Credit attribution is not required for ordinary use at home or within a facility. However, when introducing the Service or the Free Download Materials on a website, social media, blog, news article, promotional material, or similar medium, Users are requested to clearly indicate “TamagoDaruma” and the URL of the Service to the extent reasonably possible.

Use by Facilities and Organizations; Case Studies

When Free Download Materials are used by nurseries, kindergartens, certified childcare centers, child development support facilities, after-school day services, parenting support facilities, educational institutions, local governments, companies, organizations, or similar entities, the Company may contact the User for purposes such as confirming usage, improving the materials, and introducing examples of use.

The Company may publish the facility name, organization name, details of use, feedback, and similar information on the Service, the Company’s website, social media, promotional materials, news articles, or similar media only after obtaining the User’s prior consent.

Changes to Conditions of Use

The Company may change, suspend, discontinue, or terminate the content, method of provision, conditions of use, publication period, or any other aspect of the Free Download Materials without prior notice to Users.

Prohibited Acts

Users must not engage in, and represent that they will not engage in, any of the following acts when using the Service:

  • Acts that infringe, or may infringe, the copyrights, other intellectual property rights, or interests of the Company or any third party; acts that violate, or may violate, laws, regulations, or public order and morals.
  • Acts that cause, or may cause, disadvantage or damage to the Company, other Users, or any third party.
  • Acts that interfere, or may interfere, with the operation of the Service; acts that damage, or may damage, the credibility of the Company or the Service.
  • Using the Service for purposes other than those intended by the Service.
  • Sending or transmitting information that contains computer viruses or other harmful computer programs.
  • Sending or transmitting obscene information or information harmful to minors.
  • Sending or transmitting information related to dating or sexual encounters.
  • Providing benefits or otherwise cooperating with antisocial forces, including organized crime groups, members of organized crime groups, right-wing organizations, antisocial forces, or any similar persons or organizations.
  • Religious activities or solicitation for religious organizations.
  • Collecting, disclosing, or providing to third parties, without the Company’s permission, personal information, registration information, usage history information, or similar information of any third party.
  • Assisting or encouraging any of the acts listed above.
  • Any other act that the Company deems inappropriate.

If the Company determines that a User’s conduct in connection with the Service falls under, or is likely to fall under, any of the above items, the Company may suspend all or part of the User’s use of the Service without prior notice to the User. The Company shall not be liable for any damage incurred by the User as a result of any measures taken by the Company based on such suspension.

Changes to the Service

The Company may change, suspend, discontinue, or terminate all or part of the Service at any time and for any reason without prior notice to Users.

Storage of Information

Even if the Company stores posts or other information sent or received by Users for operational purposes for a certain period of time, the Company is under no obligation to store such information and may delete such information at any time. The Company shall not be liable for any damage incurred by Users as a result of such deletion.

Disclaimer

Users shall use the Service at their own discretion and responsibility after agreeing to the following, and the Company shall not be liable for any loss or damage incurred by Users:

  • The Company shall not be liable for any damage incurred by Users in connection with the use of, or inability to use, the Service, regardless of the reason.
  • The Company makes no warranty regarding the operation of the Service or its compatibility with Users’ devices or equipment.
  • The Company makes no warranty regarding the completeness, accuracy, legality, or usefulness of the Service, nor regarding the accuracy, validity, legality, usefulness, or any other aspect of information obtained through use of the Service.
  • The Company shall not be liable for any damage arising from reduced display speed, system failures, or other issues of the Service caused by excessive access or other unforeseen circumstances.
  • Any transactions, communications, disputes, or similar matters arising between a User and another User or any third party in connection with the Service or the Company’s website shall be handled and resolved at the User’s own responsibility, and the Company shall bear no responsibility for such matters.
  • The Company shall not be liable for any damage arising from changes, suspension, discontinuation, or termination of the Service.
  • Even if links are provided from the Company’s website to other websites or from other websites to the Company’s website, the Company shall not be liable, for any reason whatsoever, for websites other than the Company’s website or for any information obtained from such websites.
  • The Company shall not be liable for any damage incurred by Users in connection with the Service.

User Liability and Compensation

Users shall use the Service at their own discretion and responsibility after agreeing to the following, and the Company shall not be liable for any loss or damage incurred by Users:

  • If a User causes damage to the Company by violating these Terms or in connection with the use of the Service, the User must compensate the Company for such damage.
  • If a User receives a claim from another User or any third party in connection with the Service, or if a dispute arises between the User and another User or any third party, the User shall promptly notify the Company of the details, handle and resolve such claim or dispute at the User’s own expense and responsibility, and report the progress and outcome to the Company upon the Company’s request.
  • If the Company receives any claim from another User or any third party, including claims based on rights infringement, in connection with a User’s use of the Service, the User shall compensate the Company for any amount the Company is required to pay to such third party as a result of such claim.

Relationship with Individual Terms

  • If the Company distributes or posts separate documents related to the Service under names such as “Terms of Use,” “Guidelines,” or “Policy” (hereinafter referred to as “Individual Terms”), Users must use the Service in accordance with both these Terms and the applicable Individual Terms.
  • If any provision of the Individual Terms conflicts with these Terms, the conflicting portion of the Individual Terms shall prevail.

Confidentiality

  • For the purposes of these Terms, “Confidential Information” means all information relating to the Company’s technology, sales, business operations, finances, organization, and any other matters that a User receives, is disclosed, or becomes aware of from the Company in writing, orally, through recording media, or by any other means in connection with these Terms or the Service. However, the following information shall be excluded from Confidential Information:
    • Information that was already publicly known or already known to the User at the time it was provided, disclosed, or became known.
    • Information that became publicly known through publications or other means after being provided, disclosed, or becoming known, for reasons not attributable to the User.
    • Information lawfully obtained from a third party with the authority to provide or disclose such information, without any obligation of confidentiality.
    • Information independently developed by the User without relying on Confidential Information.
    • Information for which the Company has confirmed in writing that confidentiality is not required.
  • Users shall use Confidential Information solely for the purpose of using the Service and shall not provide, disclose, or leak the Company’s Confidential Information to any third party without the Company’s prior written consent.
  • Notwithstanding the foregoing, Users may disclose Confidential Information when required by law or pursuant to an order, request, or demand of a court or governmental agency. In such case, the User must promptly notify the Company of such order, request, or demand.
  • If a User reproduces any documents or electromagnetic recording media containing Confidential Information, the User must obtain the Company’s prior written consent and strictly manage such reproductions in the same manner as Confidential Information.
  • If requested by the Company, Users must, without delay and in accordance with the Company’s instructions, return or destroy all Confidential Information, all documents and other recording media containing or embodying Confidential Information, and all copies thereof.

Changes to These Terms

The Company may change these Terms and the Individual Terms at any time without prior notice to Users when the Company deems it necessary. The revised Terms and Individual Terms shall take effect when posted at an appropriate location on the website operated by the Company. Users shall be deemed to have agreed to the revised Terms and applicable Individual Terms by continuing to use the Service after such revisions. Please note that the Company is unable to provide individual notice of such changes to each User, and Users are therefore requested to refer to the latest version of these Terms and the applicable Individual Terms whenever using the Service.

Assignment of These Terms

  • Users may not assign, transfer, grant a security interest in, or otherwise dispose of their contractual status under these Terms or any rights or obligations under these Terms to any third party without the Company’s prior written consent.
  • If the Company transfers the business related to the Service to another company, the Company may transfer its contractual status under these Terms, its rights and obligations under these Terms, and User information and other related information to the transferee of such business. Users shall be deemed to have given prior consent to such transfer under these Terms. For the purposes of this provision, a business transfer includes not only an ordinary business transfer but also corporate splits and any other case in which a business is transferred.

Governing Law

The formation, validity, performance, and interpretation of these Terms shall be governed by the laws of Japan.

Jurisdiction

If any dispute arises in connection with these Terms or the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
